End User License Agreement

Endnutzervereinbarung / EULA

This End-User License Agreement (“EULA”) is a legal agreement between you (the “Licensee”) and Kronseder & Reiner GmbH, trading as smartics (“smartics”, “Licensor”), Keltenweg 7, 82008 Unterhaching, Germany, HRB 136033.

By installing, enabling, or using any smartics software product, you agree to be bound by the terms of this EULA. If you do not agree, do not use the software.

This EULA applies to all smartics software products distributed through the Atlassian Marketplace, including Data Center apps, Forge apps, plugins, add-ons, and blueprints (“smartics Software”).

Definitions

1. Grant of License

1(a) — Data Center Apps

Subject to your compliance with this EULA and maintenance of a valid Subscription or perpetual license, smartics grants you a limited, non-exclusive, non-transferable right to install and use copies of the applicable smartics Software on your Atlassian Data Center or Server instance.

You may make copies of Data Center Apps insofar as necessary for backup and archival purposes.

1(b) — Forge Apps (Cloud)

Subject to your compliance with this EULA and maintenance of a valid Subscription, smartics grants you a limited, non-exclusive, non-transferable right to access and use the applicable smartics Software as a cloud-hosted service during the Subscription term.

Forge Apps run entirely on Atlassian’s infrastructure. No software is installed on your servers or devices. Your right is to access and use the service — not to receive, copy, or possess any software files.

2. Restrictions

You may not:

• (a) Redistribute copies of smartics Software to third parties, except as explicitly permitted in writing by smartics or through an Atlassian Marketplace reseller arrangement.
• (b) Reverse engineer, decompile, or disassemble smartics Software, except to the extent expressly permitted by applicable law.
• (c) Sublicense, rent, lease, or lend smartics Software or access to it.
• (d) Remove or alter any copyright notices or proprietary markings within smartics Software or its documentation.
• (e) Use smartics Software in any way that violates applicable law or Atlassian’s Marketplace Terms of Use.

3. Atlassian Marketplace Terms

When you acquire a license through the Atlassian Marketplace, additional terms apply, including Atlassian’s Marketplace Terms of Use and Atlassian’s End-User Agreement. In the event of a conflict between this EULA and Atlassian’s terms regarding the marketplace transaction itself, Atlassian’s terms prevail for that transaction.

4. Intellectual Property

All intellectual property rights in and to smartics Software — including but not limited to copyrights, trademarks, and trade secrets — are owned by smartics or its licensors. This EULA grants you no ownership rights. All rights not expressly granted are reserved.

5. Privacy

For Forge Apps: smartics Software runs entirely on Atlassian’s infrastructure. smartics does not collect, store, or process personal data as part of the app’s operation.

For Data Center Apps: any data processed by the app remains within your own Atlassian instance. smartics has no access to it.

6. No Warranties

smartics Software is provided “as is” without warranty of any kind. To the fullest extent permitted by applicable law, smartics expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

smartics does not warrant that smartics Software will be error-free, uninterrupted, or meet your specific requirements.

Evaluation licenses are available through the Atlassian Marketplace so that you may assess smartics Software before purchasing.

7. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall smartics be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to lost profits, loss of data, or business interruption — arising out of or related to your use of or inability to use smartics Software, even if smartics has been advised of the possibility of such damages.

German law notice: Under German law, liability for deliberate acts (Vorsatz), gross negligence (grobe Fahrlässigkeit), and for damages to life, body, or health cannot be excluded or limited. This limitation of liability does not apply to such claims by German licensees.

8. Term and Termination

This EULA is effective from the date you first use smartics Software and continues until your Subscription or license expires or is terminated.

smartics may terminate this EULA immediately if you materially breach its terms. Upon termination, your right to access or use smartics Software ceases, and you must destroy all copies of Data Center Apps in your possession. Sections 4, 6, 7, and 9 survive termination.

9. Right of Withdrawal for German Consumers (Widerrufsrecht)

This section applies only to natural persons acting outside their trade or profession (consumers) under German law. It does not apply to business customers (B2B).

Widerrufsrecht für Privatpersonen

Sie haben das Recht, diesen Vertrag innerhalb von 14 Tagen ohne Angabe von Gründen zu widerrufen. Die Widerrufsfrist beträgt 14 Tage ab dem Tag des Vertragsabschlusses.

Um Ihr Widerrufsrecht auszuüben, müssen Sie uns (Kronseder & Reiner GmbH, Keltenweg 7, 82008 Unterhaching, E-Mail: info@smartics.de) mittels einer eindeutigen Erklärung (z. B. ein mit der Post versandter Brief oder eine E-Mail) über Ihren Entschluss, diesen Vertrag zu widerrufen, informieren.

Widerrufsfolgen

Im Falle eines wirksamen Widerrufs sind die beiderseits empfangenen Leistungen zurückzugewähren. Soweit Sie mit der Ausführung der Dienstleistung vor Ablauf der Widerrufsfrist ausdrücklich zugestimmt haben und zur Kenntnis genommen haben, dass Sie Ihr Widerrufsrecht mit vollständiger Vertragserfüllung verlieren, erlischt das Widerrufsrecht mit vollständiger Erbringung der Dienstleistung.

Bei Data-Center-Apps, die Sie heruntergeladen und installiert haben: Im Falle eines wirksamen Widerrufs ist die smartics Software auf allen Ihren Systemen unverzüglich zu löschen und dies ist uns schriftlich zu bestätigen. Diese Pflicht ist innerhalb von 14 Tagen nach Absendung der Widerrufserklärung zu erfüllen.

10. Governing Law and Jurisdiction

This EULA is governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). For business customers (B2B), the exclusive place of jurisdiction is Munich, Germany. Mandatory consumer protection provisions of the consumer’s country of residence remain unaffected.

11. Miscellaneous

• Entire Agreement: This EULA constitutes the entire agreement between you and smartics regarding smartics Software and supersedes all prior agreements.
• Severability: If any provision of this EULA is held invalid or unenforceable, the remaining provisions remain in full force.
• Updates: smartics may update this EULA from time to time. Continued use of smartics Software after notice of changes constitutes acceptance of the updated terms.
